Acceptance of Terms

By using Utopia, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to comply with all applicable laws and regulations. Utopia reserves the right to update these Terms, and your continued use of the Platform constitutes acceptance of any changes.

Nature of Services

Utopia is a non-custodial decentralized exchange facilitating peer-to-peer token swaps, liquidity provision, and other DeFi services via smart contracts on the Solana blockchain. Utopia does not hold custody of your funds or private keys. You interact directly with Solana-based smart contracts for all transactions.

Eligibility

You must not use Utopia if you are:

• Located in, or a resident of, any jurisdiction where use of the Platform is prohibited or restricted by law (“Restricted Territories”), including those subject to sanctions by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC) or the United Nations Security Council.
• A Restricted Person under sanctions lists or regulations. By using Utopia, you confirm compliance with all applicable local laws, including those related to cryptocurrencies, taxes, and securities.

Risks

Using Utopia involves risks, including but not limited to:

• Volatility of digital assets.
• Potential loss of funds due to smart contract vulnerabilities, Solana blockchain issues, or user error.
• Impermanent loss for liquidity providers.
• Lack of regulatory oversight compared to centralized platforms.You acknowledge these risks and agree that Utopia is not liable for any losses resulting from your use of the Platform.

User Responsibilities

You are responsible for:

• Maintaining the security of your wallet, private keys, and seed phrases.
• Ensuring sufficient Solana (SOL) in your wallet to cover transaction fees (gas).
• Verifying the accuracy of all transactions, as blockchain transactions are irreversible.
• Complying with applicable tax and anti-money laundering obligations related to your activities on Utopia.

Fees

Utopia may charge fees for services such as token swaps, as displayed on the Platform at the time of your transaction. You are also responsible for Solana network transaction fees (gas), which vary based on network conditions. All fees are subject to change without notice.

Prohibited Conduct

You agree not to use Utopia for any illegal or unauthorized activities, including but not limited to:

• Market manipulation, fraud, or wash trading.
• Transactions involving Restricted Territories or Restricted Persons.
• Any activity that violates applicable laws or regulations.Utopia reserves the right to restrict access for non-compliance with these Terms.

No Custody or Control

Utopia does not control or custody your funds. All transactions occur directly on the Solana blockchain through smart contracts. You bear full responsibility for managing your assets and securing your wallet.

Third-Party Integrations

Utopia may integrate with third-party protocols, wallets, or services (e.g., Phantom, Solflare, or other Solana-based DEXs). Utopia is not responsible for the performance, security, or availability of these third-party services.

Intellectual Property

All content, logos, and materials on the Platform are the property of Utopia or its licensors. You may not reproduce, modify, or distribute any content without prior written consent.

Disclaimers

The Platform is provided “as is” without warranties of any kind, express or implied. Utopia does not guarantee:

• Uninterrupted or error-free access to the Platform.
• The accuracy, security, or performance of smart contracts or the Solana blockchain.
• The suitability of the Platform for your specific needs.

Limitation of Liability

To the fullest extent permitted by law, Utopia, its developers, contributors, and affiliates shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to loss of funds, data, or profits.

Indemnification

You agree to indemnify and hold Utopia and its affiliates harmless from any claims, losses, or damages arising from your use of the Platform or violation of these Terms.

Termination

Utopia reserves the right to suspend or restrict access to the Platform at its discretion, including for suspected violations of these Terms or applicable laws.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Delaware, USA. Any disputes arising from these Terms will be resolved through binding arbitration in Delaware, USA, conducted in English, unless otherwise permitted by law.
